Hmm not sure. It could indicate a hardware problem... (overheating, CPU problem or memory.)

    Here's another memory tool: http://oca.microsoft.com/en/windiag.asp

ok i ran it and it completed all 6 tests no problem, no errors. ran memtest86 after that and froze at 32% again. is it just a problem with memtest? do both programs do the same thing?

From my point of view, the memory would be replaced as fast as I could do it. Either program finds errors, and not completing is a error in my book, and I trashcan the ram.

One/another possibility... Having "USB Legacy Support" enabled in the bios has been reported to cause memtest86 hangs.

I would disable it and try it. I hope you are not using USB KB or mouse. Is yes, they use PS2 items or the PS2 adapter.

It's up to you whether you want to permanently disable "USB Legacy support". I was only suggesting to have it disabled whenever you happen to run memtest86.
