This auto shutdown is a utility that comes with the system or system board installed. Some companies have updated the utility for sp4 and most have not for sp5 yet. Go to the vendor of your system (eg. hp's sight has the update for sp4 but not sp5). If you need more info, let me know.

I found this in www.toshiba.com
When shutting down NT, system restarts instead of powering off

Applicable Hardware:
Applicable OS/Environment: Win NT 4.x, WinNT Server 4
Category: Power Management
Issue
When selecting START/SHUTDOWN in Windows NT 4.0, system will restart instead of actually powering off.
Procedure
Modify the registry to fix this problem.
Click START/RUN, enter REGEDIT.EXE and press the ENTER key to continue.
Go to HK_Local_Machine\Software\Microsoft\WindowsNT\CurrentVersion\WinLogon, and Change the registry key "PowerDownAfterShutdown" from 0 to 1.
Exit the Registry editor and restart NT for change to take effect
But when I go to change the parameter is already set ??.
