The DXdiag looks good related to your video drivers and settings. I know the problem is related to video, but you might want to clean up the inactive sound card entries found at the bottom of the dxdiag file (just as a precaution).
Start the computer in safe mode then go to the sound tab and remove any inactive or duplicate entries.
Now, restart and go back to device manager for the next step (review irq settings for conflict). In device manager, dobule click on My computer then make sure the dot is in IRQ. Scroll down the list to find your video card and see if any other moveable items (ie modem, sound card) share an IRQ with the video card.
For example, on my computer the network and sound card share an IRQ. Usually this is okay, but if I experienced hardware problems, I would 1) uninstall one of the card in Windows, pull it out of the computer and move it to a different slot to see if the IRQ sharing goes away.
Someone once told me it is best if your cards alternate spaces.
Meanwhile, I was trying to find a link provided in other topics that had a list of Fatal exception codes and their meanings. Anyone remember that link?

Worked all weekend and here's the answer (I Think):
The solution turned out to be a combination of DirectX 8 and Media Player 7.1.
It may just be Media Player and not 8 but I want to run for awhile before I try to re-install 8. I uninstalled it and replaced it with X7 but also rid myself of Media Player when it was apparent that that was not the sole solution and Media Player 7.1 was installed at the same time.
Curiously when I un-installed Media 7.1, the old 6.4 immediately became active again which I had thought was overwritten. I took the old Goodtime.mpg file from MS Win95 and played it with 6.4 on my wife's machine, full screen, no problems. Then I installed 7.1 and played it and it skipped and distorted the image and audio match up.
I uninstalled 7.1, 6.4 reappeared and played the file perfectly.
If you have problems as I had you may want to check into Media 7.1 as the culprit. As I said I want to run a little while then re-install DirectX 8 without 7.1 and see what happens.

Go into your bios and go to advanced chipset features. See if video ram cachable is enabled. If it is disable it, save settings, and reboot. See if that helps. If a program writes to that memory area it will cause crashes. Also make sure memory hole is disabled.

For what it's worth, DirectX 8.1 was officially released by MS this weekend:

It may solve your problem.
