After spending way too much time and not really feeling comfortable that I knew what the root cause was or how many more hours I'd need to spend on it, I gave up and restored it back to a Ghost image I took before I gave my friend the brand new PC, last year. (I saved all of his data, but he'll need to reload his Apps, but I felt this was the best recourse).
Thank Heavens for Ghost Images / backups!!!!!
And thank you guys for all of your help.
I did install, update, and run al of the Anti- Visrus, Spyware, Adware, and Rootkit programs you recommended above, so hopefully this issue will not re-occur!

Just curious, did you scan with the anti-rootkit programs before you restored the image?

I don't have my notes in front of me at the moment (I had 5 pages before I just gave up), but I think I scanned with one and didn't find any, but either had fatal issues installing or executing the other one.
My confidence in finding and resolving the problem was close to zero and my patience was gone a couple days ago.
I just felt like a clean and confident restore to a virgin image was the best solution. I really wish I could have determined and resolved the root-cause, but I had already spent way too many hours and I have better things to do on my weekends and holidays vacations.
