- Do a test restore of your backup before doing anything else

- You can either add a new Exchange Server to the Organisation and move all mailboxes & public folders to that before removing the old box or..
- You can do a restore to a new server that is going to replace the old server and will have the same name.
The most important thing is the verified backup. Using a second server in the organisation will reduce downtime for your users while restoring to a new server will give you the option of testing while still being able to go back to a known working server if you have any problems.
