while following train's link as well as others in these forums, i came across software called "GWX Control Panel (formerly GWX Stopper)" at http://ultimateoutsider.com/downloads.

    here is its control panel:

i dl it and it seems to work. i do hope that's all it does lol.

far be it for me to recommend it, but what do you all think?

If it works then all is ok. It gets a totally clean rating from www.virustotal.com/ so that's good too.

I have used GWX Control Panel on several systems. It works and has not been flagged as malware by any antivirus or antimalware software. If it had a hidden payload, we would likely have seen a notice about it by now.

Here is some official documentation from MS themselves on how to stop the nagging:

GWX Control Panel has been updated to 1.7.3.1 (The website still says 1.7.2, but the downloads are the new version)

Seems GRC got into the act.

The name “Never 10” is a bit of an overstatement, since this utility may also be used to easily re-enable Windows operating system automatic upgrading. But the primary reason for using this is to disable Windows' pestering insistence upon upgrading Windows 7 or 8.1 to Windows 10.

Many users of Windows 7 and 8.1 are happy with their current version of Windows, and have no wish to upgrade to Windows 10. There are many reasons for this, but among them is the fact that Windows 10 has become controversial due to Microsoft's evolution of their Windows operating system platform into a service which, among other things, aggressively monitors and reports on its users activities. This alone makes many users uncomfortable enough to cause them to choose to wait. In line with this, a few months into 2016, Windows 10 started displaying unsolicited advertisements on its users' desktops. Others dislike the changes Microsoft made by merging their failed “tiled” smartphone user-interface into the Windows UI. And, finally, some object to being force-fed whatever Microsoft wants and simply wish to choose for themselves.

I'm a fan of Steve Gibson and I'm sure that Never 10 is an excellent utility. I agree with Steve that GWX Control Panel can be confusing, but I think it's the best approach to this "problem." It actually reveals where you stand with the potential invasion of 10 (which I like knowing.)

Thanks. This new version found something turned on that the older version did not know about.

The new version also found something on my computer, but I believe it was just the setting to "Get Recommended updates the same way as Important updates". I have my system set to not automatically download and install updates, so every update must be approved by me before being downloaded and installed.
