I honestly can't imagine what would be happening at shutdown to effect the bios time. Nothing Windows itself does would.

Earlier on I mentioned about checking the time for correctness at shutdown (before powering off). Did you do this. You say after a cleanup you notice the next day a time change. But what about right at shutdown?

Just to check a possible program influence... What all is running in autoexec and config? What does MSCONFIG show running in background?

I haven't seen the reset on shutdown yet. I'll do some more cleanup tests and see what happens.

    Config and Autoexec start:
    HIMEM
    EMM
    McAfee AntiVirus
    Soundblaster sets
    codepages
    path for scanner

    Msconfig starts:
    config - complete
    autoexec - complete
    win.ini - complete
    system.ini - complete
autostart - all WIN standard, AV, FW EXCEPT taskmanager

A final update on this issue.

    a) my UPS device just died - unless it send some strange powersurge's, we ruled out it could have influenced the BIOS time

    b) various shutdown times (hours or days) did not lead to a clear pattern of time resets (this should rule out battery issues)

    c) 3rd battery is still full after various voltage checks (no unusual drain here)

    d) resets ALWAYS occured after thorough HD cleanup, which is the only clear and reproducible link I could come up with

    e) reset could be seen during shutdown check(after cleanup !!!)

    Summary:
Allthough not proven or known (yet), I assume something during WIN98 shutdown causes the BIOS date and time to reset, possibly because of a missing file deleted by cleanup procedures.

Maybe one day we'll all know...
