Motorola SM56 modem & CL WebCam III

Hi all,
I am having problems having these two devices to run. Th WebCam, is not really a problem until I get the modem up & Running !
So the modem is a Motorola SM56 PCI PNP modem. It works fine under Win98.

When I install it under WIN2K, I cannot access it. I tried the diagnosis from the device manager, but I get an error.

Also, the is an unknow device called "PCI Communication Device". I am unable to install the driver for it. I think it is actually the modem that incorrectly reports itself to Win2K.

Any idea ?
