Here is a free proxy server: http://www.analogx.com/contents/download/network/proxy.htm
I tried to connect for weeks with ICS and could never get it to connect on either pc. I removed ICS and installed this program and it worked on the first try on both machines. Just read the readme file and it's easy to configure. Need any help setting it up, post back and I'll help more.

On the ICS computer in Internet properties, check "Always dial a connection." On the other computer check "Never dial a connection." You also have to have the dialer set to dial automatically.
I'm assuming you are using a modem.
Also, read my post to to pattigirl under "Networking Problems!"
